English Abstract: Israel''s newly enacted Insolvency and Economic Rehabilitation Law, 2018 ("The New Insolvency Law"), offers two distinct paths (or procedures) for corporate reorganization. The first procedure, found in Part II of the Law, is a procedure which includes the crucial legal means for a successful administration of a corporate reorganization case, such as the stay against creditors'' enforcement measures, and the ability to assume executory contracts during the case. It also includes a majoritarian creditors'' vote on a proposed plan (including an inter-class cram-down provision). However, this procedure comes at a significant price: it mandates a change of control at the outset of the procedure. A court appointed trustee replaces the management and board at the helm of the corporation. The alternative procedure under the New Insolvency Law is found in Part X of this Law. This procedure also allows a majoritarian vote of creditors (including an inter-class cram-down) on a proposed reorganization plan. However, in all other respects, it is the symmetric opposite of the procedure of Part II of the the New Insolvency Law: On the one hand it leaves the management and board at the helm, without their replacement by an appointed trustee; yet, on the other hand, this procedure lacks the essential means for an effective corporate restructuring, namely the stay (or moratorium) of creditors'' enforcement rights and the preservation of executory contracts.This article exposes the insufficiency of either of these two statutory procedures for advancing successful reorganizations of corporate firms in Israel. It calls for the amendment of the of the New Insolvency Law by adopting a fully effective, and debtor friendly, reorganization proceeding reminiscent of the U.S. Chapter 11. It further points out, that a recent provisional amendment of the New Insolvency Law, effective for the year 2021 (as an aftermath of the coronavirus pandemic), follows suit of a full Chapter 11 proceeding. Accordingly, this article calls for the adoption of this newly enacted amendment as the permanent insolvency reorganization proceeding for Israel.
